Kenneth D. Rardin, a Director, appointed in September 2006, and our President and Chief Executive Officer since September 2006, has over 25 years of senior executive management experience in the healthcare information technology, computer software, and computer services industry. He has managed and successfully grown several high technology companies with both U. S. and international operations, and completed two successful IPO’s (Software AG International and IMNET Systems). Prior to joining the Company, Mr. Rardin was chairman and chief executive officer of Park City Solutions, a leading eHealth company that specialized in Electronic Health Records, systems integration and consulting. As the founder, chairman and chief executive officer of IMNET Systems, Inc., Mr. Rardin displayed his abilities to successfully execute his second IPO, and also to transform the company into one of the fastest growing healthcare information technology companies in the U. S. While at IMNET, Mr. Rardin developed a dual channel sales strategy to sell IMNET’s products directly to large hospitals, IDN’s and hospital chains (i.e. Tenet Healthcare and OrNda Healthcare), and through large healthcare information technology vendors such as Cerner Corporation, IDX Systems Corporation, Eclipsys Corporation, McKesson, and many others. Since being purchased by McKesson, the IMNET solution has remained a top selling product. |

| Gary D. Bowers is a President of Merge Healthcare North America Division. Mr. Bowers was appointed Senior Vice President for Strategic Business Initiatives in November 2006. He joined the Company as Vice President in September 2006. Previously, Mr. Bowers was Senior Vice President, Product Technology for Park City Solutions, from October 2004 to November 2005, and was a General Partner of Rardin Capital Management, a technology and financial consulting firm, from December 1999 to September 2004. He received a B.A. in Statistics, magna cum laude, from the University of Rochester. |

Jacques F. Cornet brings over 20 years of executive business development and marketing experience in Information Technology to his role. He has had a diverse, international career in multiple disciplines within both large and small companies. Throughout his career, Mr. Cornet’s vision and passion for customer value creation satisfaction has helped to create significant company growth in a variety of high tech domains including healthcare, computer aided design / manufacturing and automotive workflow. Before joining Cedara in mid 2000, Mr. Cornet held several strategic business management positions at ADAC Laboratories (now part of Philips Medical Systems) in the U. S., GE HealthCare in Europe and the U. S. and GE Calma in Europe. As a special mention, at GE HealthCare, Mr. Cornet drove a worldwide business from scratch to $60M within 3 years, by implementing a leading edge Product Line for Radiology Diagnostic, called Advantage Windows. Today, this product is installed at more than 12,000 locations. Mr. Cornet holds an MSc (ElectroMechanical and Computer Sciences) and Executive Marketing from HEC France.

Previously, Steve Norton was Senior Vice President and Chief Financial Officer at Manhattan Associates (NASDAQ: MANH), a $300 million leader in supply chain management software and systems, with offices in the United States, Europe, Asia (including a development center with over 500 employees in Bangalore India), and Australia. While at Manhattan, he was responsible for all financial areas, information technology, and investor relations. Prior to that, he spent over five years as an Executive Vice President and Chief Financial Officer with Concurrent Computer Corporation, where his responsibilities included finance, human resources, information technology, investor relations, and manufacturing operations. Additionally, Norton has held senior management positions at LHS Group, Ernst & Young, and KPMG. He received his Bachelor of Arts degree from Michigan State University in 1983.

Loris Sartor has held various positions since joining Cedara, including Director of the Platforms Products Division, Product Vice President, Divisional Vice President of Engineering and Customer Solutions, Vice President of Sales and, most recently, President. Throughout his career at Cedara, Mr. Sartor has focused on management of the engineering organization and support of sales activities. He also initiated major process improvement efforts in engineering to improve quality and productivity via the Capability Maturity Model (CMM) initiative. Mr. Sartor’s technical, management, and executive career in the software development industry spans 20 years. Prior to joining Cedara, Mr. Sartor held several technical and management positions in the Sietec Open Systems Division at Siemens Electric Ltd., as well as various other technical positions within the software industry. Mr. Sartor holds a Bachelor of Applied Science and Engineering Degree (Computer Science Option) and an MBA from the University of Toronto, providing a complementary mix of technical and business management training.
